Note on Ground Rush Integration
Ground Rush already has an operational team with proven systems. Rather than rebuilding from scratch, Mainstay Tech inherits access to existing infrastructure, workflows, and technical expertise developed over years of real-world operation. This dramatically reduces the time and capital needed to reach a functional state.
04 — INFRASTRUCTURE STRATEGY

Cloud, Local, or Both?

Three paths to powering Mainstay Tech. Each has a different cost structure, risk profile, and scalability ceiling.
Ground Rush already runs self-hosted infrastructure across multiple properties. That’s a real asset — servers, storage, and architecture that’s been tested in production. The question is how Mainstay Tech scales from here: go fully cloud, double down on owned hardware, or run a hybrid that gets the best of both worlds.

Below is an honest breakdown of all three options. Our recommendation is the hybrid approach — and the reasoning is straightforward.
Option A
Cloud First
AWS / GCP / Azure. No owned hardware. Scale on demand.
$3–8K / month
  • Zero upfront hardware cost
  • Infinite scalability — grow on demand
  • Enterprise-grade redundancy built in
  • Fastest path to production
  • Global CDN & edge distribution
  • Ongoing operating cost never stops
  • Data owned by the cloud provider
  • Vendor lock-in risk over time
  • Cost spikes unpredictably at scale
Option C
On-Premise
Full ownership. All servers at Mainstay/GR properties. No cloud dependency.
$500 / month + $80K–150K hardware
  • Complete ownership of all data
  • Lowest ongoing operating cost at scale
  • No vendor dependency whatsoever
  • Hardware equity on balance sheet
  • Massive upfront capital requirement
  • No built-in redundancy or failover
  • Single point of failure risk
  • Limited global distribution capability
  • Full IT team required to maintain

Year 1 Total Investment (Hybrid Recommendation) $928K – $1.31M
Lean Start (Minimum)
~$650K
Contract-heavy, fewer FT hires, leveraging existing GR infrastructure and team at maximum. Viable but stretched thin.
Recommended Investment
~$1M
Balanced team, hybrid infrastructure, proper IP protection and entity setup. This is the build-it-right number.
Full Staffed Build
~$1.5M
Full team, owned hardware + cloud, aggressive go-to-market. Appropriate if the vision is to move fast and capture market share quickly.
Key Offset
Ground Rush Assets

08 — The Big Picture

What is Mainstay Tech’s
actual niche?

You can’t be everything to everybody — and you shouldn’t try. The greatest tech companies in history became great because they owned one specific space so completely that everyone else played by their rules. The question Rod needs to answer, and the question we need to align on before we spend the first dollar, is: what does Mainstay Tech own?

Based on everything we’ve built, everything we know about the music industry’s technology gaps, and where Rod Wave’s brand has genuine authority — here is our thinking on three viable niche directions. Each one is a Harvard Business School case study waiting to be written.

Niche Option A
The Tour Tech Company
Own the software infrastructure for live music. Touring OS becomes the industry standard for how tours are planned, executed, and settled. Built by people who’ve actually done it, for people who actually do it. Nobody else has that credibility.
Niche Option B
The Artist Infrastructure Company
Own the full-stack operational layer for independent artists and labels. CRM, streaming, broadcasting, AI management, ticketing — a single platform that lets artists run their business without depending on the major label machine. Spotify didn’t solve this. We can.
Niche Option C
The Entertainment AI Company
Own the AI operations layer for the entire entertainment industry — music, film, touring. Alfred, Luma, and the automation infrastructure Ground Rush has built, commercialized for labels, studios, agencies, and venues. AI built for the entertainment world, by people in it.
OUR POSITION

“The answer isn’t to pick one lane on day one. The answer is to start with the lane we have the most proof in — and let the market tell us where to go next. Right now, that lane is Tour Tech. Touring OS, powered by Mainstay’s credibility and Rod Wave’s reach, is the fastest path to being taken seriously by the industry. Everything else grows from there.”

— Mike Johnson & Lorenzo Biddnes, Mainstay Tech Leadership
07 — LEGACY INTELLIGENCE PROJECT

The Derek Project

“Some legacies are too important to let fade. The Derek Project is about preserving one — in the most enduring form technology allows.”

Initiated and championed by Lorenzo Biddnes, The Derek Project is one of the most meaningful initiatives inside the Mainstay family. The mission is straightforward: build an AI persona — a living, intelligent model — that carries forward the wisdom, voice, management philosophy, and institutional knowledge of Derek, the founding architect of Mainstay Inc.

Project Brief
LEAD
Lorenzo Biddnes — conceived, championed, and driving this initiative forward
GOAL
A fully realized AI persona that thinks, advises, and operates with the institutional knowledge and management DNA that built Mainstay
SCOPE
Internal Mainstay use first. Long-term potential as a proprietary model asset owned by Mainstay Inc.
STATUS
Active Development — Mainstay Tech to formalize and resource
Technical Approach Options
Path A
Fine-Tune an Existing LLM
Fastest Path

Take a powerful open-source model — LLaMA 3, Mistral, or Falcon — and fine-tune it on curated Derek-specific data: communications, decisions, philosophies, interview recordings, and institutional knowledge contributed by those who knew him best.

Stack
LLaMA 3 / Mistral · HuggingFace Transformers · LoRA fine-tuning · RLHF alignment · AWS SageMaker or local GPU cluster
Timeline & Cost
3–6 months · $40K–$120K
★ RECOMMENDED
Path B
Mainstay’s Own LLM
Owned IP · Strategic Asset

Build a proprietary Mainstay model architecture — trained from the ground up or as a deeply customized fork — that Mainstay Inc. owns outright. Derek becomes the first persona deployed on a model that can power future AI products across all four subsidiaries. This is the play if Mainstay Tech is serious about being an AI company.

Stack
PyTorch · Transformers architecture · Custom tokenizer · RLHF + Constitutional AI alignment · Alfred as orchestration layer · Ground Rush Cloud for training data storage · AWS GPU cluster (A100s)
Timeline & Cost
9–18 months · $200K–$600K
Path C
RAG + Persona Layer
Deploy in Weeks

Use Retrieval-Augmented Generation to build Derek as a persona on top of an existing model. A rich knowledge base of Derek’s communications, voice, philosophy, and decisions is stored and retrieved dynamically — the model responds as Derek without requiring full fine-tuning. Fastest to deploy, easiest to iterate on.

Stack
LightRAG (already in Alfred) · Vector DB (Pinecone / Weaviate) · GPT-4o or Claude API · Alfred orchestration layer · Ground Rush AI knowledge base
Timeline & Cost
4–8 weeks · $5K–$20K
The Alfred Advantage
Alfred doesn’t just assist Derek — Alfred helps build him.

Alfred’s multi-agent architecture and persistent Grey Matter memory layer serve as the ideal scaffolding for Derek’s development. Alfred can autonomously research, compile, organize, and structure the training data pipeline — gathering communications, synthesizing decision patterns, and continuously refining Derek’s knowledge base without requiring constant human oversight. The two systems are designed to work together: Alfred as the builder, Derek as the persona that emerges. Mainstay Tech already has the infrastructure. The Derek Project puts it to its highest use.

Our Recommendation

“Start with Path C — deploy Derek as a RAG-powered persona within weeks using Alfred’s existing infrastructure. Run Path A in parallel, fine-tuning an open-source model on curated data. The long-term destination is Path B: a proprietary Mainstay model that Derek lives on — and that powers every AI product this company builds going forward. Lorenzo’s vision deserves the full build.”

09 — OPEN ITEMS & COMPENSATION FRAMEWORK

The Deltas

Compensation Structure — What Needs to Be Defined
MOST IMPORTANT
Item 01
Equity Ownership

If Mainstay Tech is incorporated as its own entity — which it should be — Mike Johnson and Lorenzo Biddnes need founding equity stakes. This is non-negotiable for anyone being asked to build a company from the ground floor. The percentage is the conversation, but the principle is not.

Industry Reference Points
Founding CXO / President 5% – 15%
Co-Lead / Head of Strategy 3% – 8%
CTO (first hire) 2% – 5%
DELTA — TO BE DISCUSSED
What is Mike Johnson’s founding equity stake in Mainstay Tech? What vesting schedule applies? What triggers acceleration (acquisition, IPO, revenue milestone)?
Item 02
Profit Share

As Mainstay Tech begins generating commercial revenue — licensing Touring OS, selling Alfred as a service, deploying LoovaCast — a defined percentage of net profit should flow back to the leadership team that built it. This is separate from salary and separate from equity.

Industry Reference Points
Executive profit share (standard) 5% – 15%
Product revenue share 2% – 8%
DELTA — TO BE DISCUSSED
Does a profit-sharing structure exist for Mainstay Tech leadership once commercial revenue begins? What is the threshold that triggers it?
Item 03
Liquidity Event Rights

If Mainstay Tech is ever acquired, merges, or goes through a capital raise — equity holders participate in that outcome. This is the moment where building from zero pays off at scale. A company with real products, real revenue, and Rod Wave’s brand behind it is an acquisition target. That needs to be planned for now, not after.

Illustrative Scenarios
$50M valuation @ 10% equity $5M
$100M valuation @ 10% equity $10M
$250M valuation @ 10% equity $25M
DELTA — TO BE DISCUSSED
Are there anti-dilution protections? Tag-along rights? What happens to Mike’s stake if Mainstay Inc. brings in outside investors?
Additional Open Items
04
Ground Rush IP & Asset Transfer

Several Ground Rush products are candidates for transfer or licensing into Mainstay Tech — Alfred, LoovaCast, GR Gateway, and the Cloud infrastructure. The terms of that transfer need to be defined. Does Mike contribute these assets as equity-in-kind? Does Mainstay Tech license them? Does Ground Rush retain ownership?

DELTA — Asset valuation & transfer terms TBD
05
Executive Title & Scope Definition

Mike Johnson’s role at Mainstay Tech needs to be formalized with a clear title, defined scope of authority, and decision-making rights. The ability to hire, spend, and operate independently — within agreed parameters — is what separates an executive from an employee.

DELTA — Title, authority limits & reporting structure TBD
06
Performance Milestones & Bonuses

Beyond base salary, performance bonuses tied to company milestones create alignment between Mike’s output and Mainstay Tech’s growth. Suggested triggers: first commercial product launch, first $1M in external revenue, first enterprise licensing deal, and the Derek Project going live.

DELTA — Milestone definitions & bonus amounts TBD
07
Ground Rush Continuity

Mike Johnson maintains Ground Rush Inc. as a separate entity. The terms of how much time, resource, and intellectual contribution goes to Mainstay Tech versus Ground Rush need to be clearly scoped. This protects both parties and ensures there’s no ambiguity about where Mike’s primary obligations sit.

DELTA — Time allocation & non-compete scope TBD
The Bottom Line

“A salary compensates you for your time. Equity compensates you for your belief. Building Mainstay Tech from the ground up — the architecture, the team, the products, the infrastructure — is a founding act. It should be treated as one. These conversations need to happen before the first hire is made and the first line of code is written.”
